Invitation to the 1st open written tender - Kostrzyn nad Odrą plots 21/2, 6/10, 17/3 - 15.12.2025
Kostrzyn-Słubice Special Economic Zone Joint-Stock Company
with its registered office in Kostrzyn nad Odrą
invites you to the 1st open written tender aimed at:
selecting an entity that will acquire the ownership right to the land properties owned by the Kostrzyn-Słubice Special Economic Zone S.A., designated by the cadastral plot numbers: 21/2, 6/10, 17/3 with a total area of 1.4803 ha, located in cadastral precinct 3 Forty of the town of Kostrzyn nad Odrą.
I. The subject of sale is the land properties located in precinct 3 Forty of the town of Kostrzyn nad Odrą:
- plot no. 21/2 with an area of 0.3528 ha, for which the District Court in Słubice, 5th Land and Mortgage Register Division, keeps land and mortgage register no. GW1S/00005023/7.
- plot no. 6/10 with an area of 1.0707 ha, for which the District Court in Słubice, 5th Land and Mortgage Register Division, keeps land and mortgage register no. GW1S/00020263/2,
- plot no. 17/3 with an area of 0.0568 ha, for which the District Court in Słubice, 5th Land and Mortgage Register Division, keeps land and mortgage register no. GW1S/00024142/6.
Plots no. 17/3 and 6/10 are located within the boundaries of the Kostrzyn-Słubice Special Economic Zone within the meaning of Article 2 of the Act of 20 October 1994 on special economic zones (Journal of Laws of 2023, item 1604), described in the annex to the Regulation of the Council of Ministers of 15 December 2008 on the Kostrzyn-Słubice Special Economic Zone (Journal of Laws of 2020, item 162) as Kostrzyn Subzone, Complex no. 3.
Plot no. 21/2 is not within the boundaries of the Kostrzyn-Słubice Special Economic Zone within the meaning of Article 2 of the Act of 20 October 1994 on special economic zones (Journal of Laws of 2023, item 1604).
In accordance with the provisions of the local zoning plan in force, adopted by Resolution no. XLIV/360/98 of the Kostrzyn nad Odrą Town Council of 18.06.1998 on local zoning plans for areas for the needs of the Kostrzyn-Słubice Special Economic Zone in Kostrzyn nad Odrą:
- plots no. 6/10 and 17/3 are located in an area designated as: industry, warehouses, construction, craft services, motor vehicle services, other services, e.g. business incubators, parks, technology centres, national and international fairs – plan symbol 2PSB, UR, UI, KS,
- plot no. 21/2 is located in an area designated as: normal traffic road (symbol KN1).
The properties no. 17/3, 6/10, 21/2 have access to a public road – ul. Północna (voivodeship road no. 132) via plot no. 20/15, covered by land and mortgage register no. GW1S/00021672/9 of the District Court in Słubice, plot no. 17/5, covered by land and mortgage register no. GW1S/00019936/1 of the District Court in Słubice, and plot 21/3, covered by land and mortgage register no. GW1S/00024923/5 of the District Court in Słubice, which are owned by the Kostrzyn-Słubice Special Economic Zone S.A. A free-of-charge road easement will be established for the benefit of each successive owner of the properties designated as plots no. 17/3, 6/10, 21/2, consisting of the right of passage, transport and access across plots no. 20/15, 17/5, 21/3.
The described properties are owned by the Kostrzyn-Słubice Special Economic Zone S.A. and are not subject to any encumbrances.
With respect to plot no. 21/2, the town of Kostrzyn nad Odrą has a right of pre-emption pursuant to Article 109 of the Act of 21 August 1997 on real estate management (Journal of Laws of 2024, item 1145, as amended).
The land properties designated as plots no. 6/10, 17/3, 21/2 can be connected to the technical infrastructure owned by the Kostrzyn-Słubice Special Economic Zone S.A. The purchaser of the properties will be required to conclude an agreement for the paid use of the technical infrastructure that is the property of the Kostrzyn-Słubice Special Economic Zone S.A.
An entrepreneur who acquires the properties covered by the tender and obtains a support decision for new investments under the Act of 10.05.2018 on supporting new investments will be required to conclude an agreement for services, including the use of infrastructure, pursuant to Article 10 of that Act.
II. Price, bid bond (wadium).
- The starting price of the properties with a total area of 1.4803 ha is PLN 2,184,922.80 gross (in words: two million one hundred and eighty-four thousand nine hundred and twenty-two zlotys 80/100), i.e. net PLN 1,776,360.00 (in words: one million seven hundred and seventy-six thousand three hundred and sixty zlotys) plus 23% VAT amounting to PLN 408,562.80 (in words: four hundred and eight thousand five hundred and sixty-two zlotys 80/100), including:
- plot no. 21/2 with an area of 0.3528 ha: PLN 520,732.80 gross (in words: five hundred and twenty thousand seven hundred and thirty-two zlotys 80/100), i.e. net PLN 423,360.00 (in words: four hundred and twenty-three thousand three hundred and sixty zlotys) plus 23% VAT amounting to PLN 97,372.80 (in words: ninety-seven thousand three hundred and seventy-two zlotys 80/100),
- plot no. 6/10 with an area of 1.0707 ha: PLN 1,580,353.20 gross (in words: one million five hundred and eighty thousand three hundred and fifty-three zlotys 80/100), i.e. net PLN 1,284,840.00 (in words: one million two hundred and eighty-four thousand eight hundred and forty zlotys) plus 23% VAT amounting to PLN 295,513.20 (in words: two hundred and ninety-five thousand five hundred and thirteen zlotys 20/100),
- plot no. 17/3 with an area of 0.0568 ha: PLN 83,836.80 gross (in words: eighty-three thousand eight hundred and thirty-six zlotys 80/100), i.e. net PLN 68,160.00 (in words: sixty-eight thousand one hundred and sixty zlotys) plus 23% VAT amounting to PLN 15,676.80 (in words: fifteen thousand six hundred and seventy-six zlotys 80/100).
- The bid bond (wadium) is PLN 218,500.00.
The bid bond is forfeited to K-S SSE S.A. if:
- none of the tender participants offers the starting price,
- the bidder whose offer is accepted evades concluding the agreement.
The bid bond paid by:
- bidders whose offers are not accepted will be returned immediately after the selection of the offer,
- the purchaser will be credited towards the price.
The purchaser is obliged to pay the price no later than one business day before the date of concluding the agreement transferring ownership of the property (the date of receipt in the bank account of K-S SSE S.A. is decisive).
A purchaser who fails to pay the purchase price loses the rights arising from the selection of the offer and the bid bond paid, as they are considered to be evading conclusion of the agreement.
III. The condition for participation in the tender is:
1. submission at the registered office of K-S SSE S.A. (ul. Orła Białego 22, 66-470 Kostrzyn nad Odrą) of a written offer to acquire the property covered by the tender by 15.12.2025 at 10:00 (for offers sent by post, the moment the offer reaches the registered office of K-S SSE S.A. is decisive); The offer should be submitted in a sealed and stamped envelope marked "1st open written tender - Kostrzyn nad Odrą - plots no. 21/2, 6/10, 17/3".
The offer is prepared in writing in Polish. It should in particular contain:
a) the first name and surname or company name, and the address or registered office of the Bidder;
b) proof of payment of the bid bond;
c) the date on which the offer was prepared;
d) identification of the property to which the offer relates;
e) a short description of the way in which the bidder plans to develop the property;
f) the net price offered;
g) the period for which the Bidder is bound by the offer, which may not be shorter than the period specified by the Company in the notice;
h) a statement by the Bidder that they have read the terms of the tender and the "Rules and procedure for the disposal of fixed assets of the Kostrzyn-Słubice Special Economic Zone S.A.";
i) the signature of the Bidder or of a person authorised to make declarations of intent on the Bidder's behalf concerning property rights and obligations;
j) an extract from the relevant register or records and other documents confirming the authority of the person signing the offer;
k) consents or permits for the acquisition of the property, in accordance with generally applicable legal provisions.
The Bidder is bound by the offer for a period of 30 days from the date of opening of the offers.
- payment of the bid bond in the amount of PLN 218,500.00 (in words: two hundred and eighteen thousand five hundred zlotys). The bid bond must be paid in cash to the account of the Kostrzyn-Słubice Special Economic Zone S.A. in Kostrzyn nad Odrą (Gospodarczy Bank Spółdzielczy w Barlinku, Kostrzyn nad Odrą Branch, 32 8355 0009 0022 3890 2000 0001) by 12.12.2025. The transfer title should state "bid bond for the 1st open written tender - Kostrzyn nad Odrą plots no. 21/2, 6/10, 17/3". The date of payment of the bid bond is the date on which the bank account is credited.
Immediately after opening the offers, the person conducting the tender checks whether the bidders have paid the bid bond in the correct amount to the account indicated in the notice.
In addition:
1. Before entering the tender, the Bidder is obliged to read and accept the "Rules and procedure for the disposal of fixed assets of the Kostrzyn-Słubice Special Economic Zone S.A." – in force since 27.08.2019, which are available on the website of the tender organiser https://www.kssse.pl/bip.php?go=950#bip1.
2. The Bidder is obliged to obtain and submit in the tender consents or permits for the acquisition of the property, in accordance with generally applicable legal provisions.
IV. The tender will take place on 15.12.2025 at 10:30 at the registered office of the Kostrzyn-Słubice Special Economic Zone S.A. in Kostrzyn nad Odrą at ul. Orła Białego 22.
V. Criteria for evaluating offers:
1) price,
2) the way in which the property will be developed.
VI. The following may not take part in the tender as bidders: members of the Management Board of K-S SSE S.A. and of its supervisory body, persons entrusted with tasks connected with conducting the tender; the spouse, children, parents and siblings of the persons referred to above; persons who are in such a legal or factual relationship with the persons referred to above that it may raise justified doubts as to the impartiality of the person conducting the tender.
VII. The property can be viewed from 27.11.2025 to 12.12.2025, on working days from 09:00 to 15:00, after agreeing the date in advance with the tender organiser.

VIII. The Kostrzyn-Słubice Special Economic Zone S.A. has the consents of the General Meeting to dispose of the properties:
- plot no. 17/3 - Resolution no. 18/2011 of the Ordinary General Meeting of 06.06.2011
- plot no. 6/10 - Resolution no. 24/2012 of the Ordinary General Meeting of 15.06.2012
- plot no. 21/2 – Resolution no. 25/2025 of the Extraordinary General Meeting of 27.11.2025
The sale of the properties requires the consent of the Supervisory Board of the Kostrzyn-Słubice Special Economic Zone S.A. to the selection of the purchaser of the properties. If the Supervisory Board's approval is not obtained, the bid bond will be returned.
IX. The conditional sale agreement for the properties will be concluded without delay, no later than 30 days from the date of opening of the offers, and the agreement transferring ownership of the properties – without delay, no later than 14 days from the date on which the Mayor of Kostrzyn nad Odrą waives, with respect to the property designated as plot no. 21/2, the right of pre-emption vested in the town of Kostrzyn nad Odrą under Article 109(1)(1) of the Act on real estate management, or from the date on which the statutory period for exercising that right expires without effect.
The Kostrzyn-Słubice Special Economic Zone S.A. has the right to close the tender at any stage of the procedure without selecting any of the offers, without giving reasons.
