invites you to the 1st open written tender aimed at:
selecting an entity that will acquire ownership of a land property owned by Kostrzyn-Słubice Special Economic Zone S.A., located in Gorzów Wlkp., cadastral precinct 15-Santocko, designated as plot no. 638/2, with an area of 19.9995 ha.
I. The subject of the sale is a land property designated as plot no. 638/2, with an area of 19.9995 ha, located in Gorzów Wlkp., cadastral precinct 15-Santocko.
Plot no. 638/2 was created from the division of plot no. 638, for which the District Court in Gorzów Wlkp., 6th Land and Mortgage Register Division, keeps land and mortgage register no. GW1G/00133730/1.
In accordance with resolution no. XXXV/627/2021 of the City Council of Gorzów Wlkp. of 31.03.2021 on the adoption of the local zoning plan of the city of Gorzów Wlkp. for the area located near ul. Mironicka, plot no. 638/2 is designated for production facilities, storage yards and warehouses, service areas (designation in the plan 1P, U) and a public access road (designation in the plan KDD).
Plot no. 638/2 is not located in a revitalisation area in accordance with resolution no. XXVIII/367/2016 of the City Council of Gorzów Wielkopolski on the designation of the degraded area and revitalisation area of the city of Gorzów Wlkp.
Plot no. 638/2 is not covered by a simplified forest management plan, and no decision of the Mayor of the City of Gorzów Wlkp. specifying forest management tasks has been issued in respect of it.
Plot no. 638/2 does not constitute, in whole or in part, a national park, nature reserve, landscape park, protected landscape area or Natura 2000 area, and there are no natural monuments, documentation sites, ecological areas, nature and landscape complexes, or animals, plants or fungi under species protection located on it.
The property designated as plot no. 638/2 has access to a public road (P-1417F) via plots no. 577/26 and 577/31, for which the District Court in Gorzów Wlkp., 6th Land and Mortgage Register Division, keeps land and mortgage register no. GW1G/00133731/8 - a free-of-charge easement, unlimited in time, has been established for the benefit of each successive owner of plot no. 577/30, consisting of the right of passage and transport by vehicle and on foot. Plot no. 577/30 was divided, which resulted in, among others, plot no. 638/2.
Plot no. 638/2 is the subject of a lease agreement. The agreement, in the part concerning plot 638/2, will be terminated with effect as of 30.09.2026.
The property designated as plot no. 638/2 is subject to the right of pre-emption of the city of Gorzów Wlkp. pursuant to Art. 109 of the Act of 21 August 1997 on Real Estate Management (Journal of Laws of 2024, item 1145, as amended) and of the National Support Centre for Agriculture pursuant to Art. 29(4) of the Act of 19 October 1991 on the Management of Agricultural Property of the State Treasury (Journal of Laws of 2025, item 826, as amended).
The described property is owned by Kostrzyn-Słubice Special Economic Zone S.A. and, apart from the lease agreement, is not subject to any other obligations.
II. Price, deposit.
- The starting price of the property is PLN 34,439,139.00 gross (in words: thirty-four million four hundred and thirty-nine thousand one hundred and thirty-nine zlotys), i.e. net PLN 27,999,300.00 (in words: twenty-seven million nine hundred and ninety-nine thousand three hundred zlotys) plus 23% VAT in the amount of PLN 6,439,839.00 (in words: six million four hundred and thirty-nine thousand eight hundred and thirty-nine zlotys).
- The deposit is PLN 10,000,000.00 (in words: ten million zlotys).
The deposit is forfeited to K-S SSE S.A. if:
- none of the tender participants offers the starting price,
- the bidder whose offer is accepted withdraws from concluding the agreement.
The deposit paid by:
- bidders whose offers are not accepted will be returned immediately after the selection of the offer,
- the purchaser will be credited towards the price.
The purchaser is obliged to pay the price no later than one business day before the date of conclusion of the agreement transferring ownership of the property (the date of receipt in the bank account of K-S SSE S.A. is decisive).
A purchaser who does not pay the purchase price loses the rights resulting from the selection of the offer and the deposit paid, as they are considered to have withdrawn from concluding the agreement.
III. The condition for participation in the tender is:
1. Submission at the registered office of K-S SSE S.A. (ul. Orła Białego 22, 66-470 Kostrzyn nad Odrą) of a written offer to purchase the property covered by the tender by 29.12.2025 at 10:00 (for offers sent by post, the moment the offer reaches the registered office of K-S SSE S.A. is decisive); The offer should be submitted in a sealed and stamped envelope marked "1st open written tender - Gorzów Wlkp. plot 638/2".
The offer is prepared in writing in Polish. It should contain in particular:
a) the first name and surname or company name, and address or registered office of the Bidder;
b) proof of payment of the deposit;
c) the date of preparation of the offer;
d) identification of the property to which the offer relates;
e) a short description of the way in which the bidder plans to develop the property;
f) the offered net price;
g) the period for which the bidder is bound by the offer, which may not be shorter than the period specified by the Company in the announcement;
h) a statement by the Bidder that they have read the tender conditions and the "Rules and procedure for the disposal of fixed assets of Kostrzyn-Słubice Special Economic Zone S.A.";
i) the signature of the Bidder or of a person authorised to make declarations of intent on behalf of the Bidder concerning property rights and obligations;
j) an extract from the relevant register or records and other documents confirming the authority of the person signing the offer;
k) consents or permits for the acquisition of the property, in accordance with generally applicable law.
The Bidder is bound by the offer for 30 days from the date of opening of the offers.
2. Payment of a deposit of PLN 10,000,000.00 (in words: ten million zlotys). The deposit must be paid in cash into the account of Kostrzyn-Słubice Special Economic Zone S.A. in Kostrzyn nad Odrą (Gospodarczy Bank Spółdzielczy Barlinek, Kostrzyn nad Odrą Branch, 32 8355 0009 0022 3890 2000 0001), by 23.12.2025. The transfer title should state "deposit for the 1st open written tender - Gorzów Wlkp. plot no. 638/2". The date of payment of the deposit is the date on which the bank account is credited.
The person conducting the tender, immediately after opening the offers, checks whether the bidders have paid the deposit in the proper amount into the account indicated in the announcement.
In addition:
1. The Bidder is obliged to read and accept the "Rules and procedure for the disposal of fixed assets of Kostrzyn-Słubice Special Economic Zone S.A." - in force since 27.08.2019, before taking part in the tender; they are available on the tender organiser's website https://www.kssse.pl/bip.php?go=950#bip1.
2. The Bidder is obliged to obtain and submit in the tender consents or permits for the acquisition of the property, in accordance with generally applicable law.
IV. The tender will take place on 29.12.2025 at 10:30 at the registered office of Kostrzyn-Słubice Special Economic Zone S.A. in Kostrzyn nad Odrą at ul. Orła Białego 22.
V. Offer evaluation criteria:
1) price,
2) the way the property is to be developed.
VI. The following may not take part in the tender as bidders: members of the Management Board of K-S SSE S.A. and its supervisory body, persons entrusted with tasks related to conducting the tender; the spouse, children, parents and siblings of the persons referred to above; persons who remain with the persons referred to above in such a legal or factual relationship that it may raise justified doubts as to the impartiality of the person conducting the tender.
VII. The property may be viewed from 11.12.2025 to 23.12.2025, on weekdays from 09:00 to 15:00, after agreeing the date in advance with the tender organiser.

VIII. Kostrzyn-Słubice Special Economic Zone S.A. has the consent of the Extraordinary General Meeting to dispose of the property - Resolution no. 24/2025 of 27.11.2025 on consent to the disposal of a land property with a total area of 46.1274 ha, located in cadastral precinct 15-Santocko, city of Gorzów Wielkopolski, designated as plots no.: 577/43 with an area of 19.2200 ha, 577/44 with an area of 10.1130 ha, 577/45 with an area of 5.1094 ha, 577/46 with an area of 5.1042 ha, 577/47 with an area of 1.6880 ha, 577/48 with an area of 2.1899 ha, 577/49 with an area of 2.7029 ha.
Plot no. 638/2 was created as a result of the merger of plots 577/43, 577/44, 577/45, 577/46, 577/47, 577/48, 577/49, which resulted in plot no. 638, and then the division of plot no. 638, which resulted in plots no. 638/1 and 638/2.
The sale of the property requires the consent of the Supervisory Board of Kostrzyn-Słubice Special Economic Zone S.A. to the selection of the purchaser of the property. If the Supervisory Board's approval is not obtained, the deposit will be returned.
IX. The conditional sale agreement for the property will be concluded without delay, no later than 30 days from the date of opening of the offers, and the agreement transferring ownership of the property - without delay, no later than 14 days from the date on which the Mayor of Gorzów Wlkp. waives the exercise of the right of pre-emption in respect of the property, vested in the city of Gorzów Wlkp. pursuant to Art. 109(1)(1) of the Act on Real Estate Management, and the Director General of the National Support Centre for Agriculture, on behalf of the National Support Centre for Agriculture, does not exercise the right of pre-emption for the State Treasury pursuant to Art. 29(4) of the Act of 19 October 1991 on the Management of Agricultural Property of the State Treasury, or from the date on which the statutory period for exercising this right expires without effect.
Kostrzyn-Słubice Special Economic Zone S.A. has the right to close the tender at any stage of the procedure without selecting any of the offers, without giving reasons.
